Commercial Terms of Service

1. Scope and Applicability

These Commercial Terms of Service ("Commercial Terms") govern access to and use of AICONSORTIUM's products and services by businesses, organisations, government bodies, and professional users (collectively, "Commercial Users"). By accepting these terms or using the commercial services, you represent that you have authority to bind your organisation.

2. Service Description

AICONSORTIUM provides AI inference services via API, on-premise deployment software, and professional services. Specific service parameters, rate limits, SLA commitments, and pricing are defined in your Order Form or Enterprise Agreement, which is incorporated by reference into these Commercial Terms.

3. Account and Access

You are responsible for maintaining the security of your API credentials. You must notify us immediately at support@aiconsortium.cloud if you suspect unauthorised use. You are responsible for all usage under your account, including by your employees, contractors, and sub-processors.

4. Payment and Billing

Fees are as specified in your Order Form. Invoices are due within 30 days unless otherwise agreed. Late payments accrue interest at 1.5% per month. We reserve the right to suspend services for accounts overdue by more than 15 days with prior written notice.

5. Intellectual Property

AICONSORTIUM retains all rights to its models, APIs, and infrastructure. You retain ownership of your input data and the outputs generated from your inputs. You grant AICONSORTIUM a limited licence to process your inputs solely to provide the service, unless you are on a zero-retention on-premise deployment.

You must not represent AI-generated outputs as human-authored without appropriate disclosure.

6. Confidentiality

Each party agrees to protect the other's Confidential Information with at least the same care it uses for its own confidential information, and no less than reasonable care. Confidential Information does not include information that is publicly available, independently developed, or received from a third party without restriction.

7. Warranty and Liability

AICONSORTIUM warrants that it will use commercially reasonable efforts to maintain service availability per the SLA in your Order Form. ALL OTHER WARRANTIES ARE DISCLAIMED TO THE EXTENT PERMITTED BY LAW.

AICONSORTIUM's aggregate liability to you will not exceed the fees paid in the twelve months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.

8. Termination

Either party may terminate for material breach with 30 days' written notice if the breach is not cured. AICONSORTIUM may terminate immediately for Usage Policy violations, non-payment, or if we reasonably believe continuation creates legal risk. Upon termination, your data may be exported for 30 days before deletion.

9. Governing Law

These terms are governed by the laws of India. Disputes will be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, in New Delhi. Nothing prevents either party from seeking injunctive relief in a court of competent jurisdiction.
